These Terms of Use govern your access to and use of this website, including vehicle listings, forms, communications, tools, content, and services made available through the Site.

Introduction

This website, https://eldermitsubishi.com/ (the "Site"), is operated by Elder Mitsubishi (the "Dealership") and powered by Adomatic ("Adomatic"). By accessing or using the Site, you agree that you are at least eighteen (18) years of age and that you are bound by these Terms of Use (the "Terms"). These Terms include the Privacy Policy available through a link in the footer of the Site, which is incorporated by reference.

If you do not agree to all of these Terms, you must not use the Site. By using the Site, you acknowledge that you have read and understood these Terms and agree to be bound by them.

Site Content

The Dealership grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial use. Copyright, trademark, trade secret, and other intellectual property laws protect the information, text, photos, graphics, vehicle listings, videos, logos, page designs, software, code, data, tools, and other materials available on or through the Site (collectively, "Content").

The Content is owned by the Dealership, Adomatic, and/or their respective licensors, suppliers, vendors, manufacturers, advertisers, service providers, content providers, or other third parties (collectively, "Licensors and Suppliers"). You may view or download a single copy of Content solely for your personal, non-commercial use. You may not reproduce, sell, publish, distribute, modify, display, perform, repost, transmit, scrape, or otherwise use any Content for any other purpose without prior written consent.

Trademarks

The Content may include trademarks, service marks, trade names, logos, slogans, or other brand identifiers owned by the Dealership, Adomatic, manufacturers, Licensors and Suppliers, or other third parties. You agree not to copy, use, infringe upon, dilute, alter, remove, or misuse any trademark, copyright notice, proprietary notice, or other intellectual property designation displayed on or associated with the Site.

Software and Website Technology

All software programming, HTML, scripts, source code, object code, integrations, design systems, templates, tools, automation logic, databases, interfaces, and other technology used to operate the Site (collectively, "Software") may be owned by the Dealership, Adomatic, and/or their respective Licensors and Suppliers. The Software is protected by copyright laws, trade secret laws, other intellectual property laws, and international treaty provisions.

Any reproduction, redistribution, publication, display, reverse engineering, decompilation, disassembly, modification, or other unauthorized use of the Software is prohibited and may result in civil or criminal penalties.

User Submissions, Lead Data and License

The Site may allow you to submit lead information, contact information, phone numbers, email addresses, trade-in information, credit application information, appointment requests, chat messages, reviews, ratings, photos, comments, documents, data, text, or other materials through forms, tools, chat features, or other interactive functionality (collectively, "Materials").

The Dealership does not claim ownership of Materials you submit. However, unless otherwise agreed in a separate written agreement signed by the Dealership, by submitting Materials through the Site, you grant the Dealership, Adomatic, and their service providers a non-exclusive, fully paid, worldwide license to use, copy, process, transmit, store, display, reproduce, adapt, modify, distribute, and otherwise use such Materials as reasonably necessary to respond to your request, operate the Site, provide services, communicate with you, support Dealership operations, maintain records, comply with applicable law, and improve Site functionality, subject to the Privacy Policy.

You represent and warrant that all Materials you submit are accurate, current, complete, submitted by you or with proper authorization, and do not violate the rights of any person or entity.

Automated Tools and AI Features

Certain features of the Site may utilize automated technologies, artificial intelligence, chat systems, recommendation systems, or other automated tools to assist with communications, search, lead handling, vehicle recommendations, scheduling, or related services. Automated responses may contain errors or inaccuracies. Users should verify important information directly with the Dealership before relying on it.

Communications Consent and SMS Terms

By providing your phone number through the Site, including through lead forms, chat features, appointment requests, trade-in forms, financing forms, contact forms, or other submissions, you agree that Elder Mitsubishi and its service providers may contact you by phone call, email, and SMS/text message regarding your inquiry, requested services, appointments, vehicle availability, financing, trade-ins, service-related matters, and other dealership-related communications.

If you opt in to receive SMS/text messages, you agree to receive conversational messages and service-related messages from Elder Mitsubishi. Message frequency may vary depending on your interactions with the Dealership. Message and data rates may apply. Consent to receive SMS/text messages is not a condition of purchase.

You may opt out of receiving SMS/text messages at any time by replying STOP to any SMS message you receive. For help, reply HELP to any SMS message you receive or contact the Dealership using the contact information available on this Site.

Mobile information and SMS opt-in data are handled as described in the Privacy Policy. Mobile information and SMS opt-in data will not be shared with third parties for their own marketing or promotional purposes. Any limited sharing of mobile information or SMS opt-in data is only for operational or business purposes related to providing messaging services, responding to your request, or supporting Dealership operations.

Dealer and Manufacturer Incentives and Offers

Vehicles advertised on the Site may include information about third-party special offers, manufacturer incentives, rebates, discounts, pricing programs, finance programs, lease programs, or other promotional offers associated with a specific brand, model, or vehicle (collectively, "Offers"). The Dealership is not responsible for errors or omissions in third-party Offer content, descriptions, eligibility rules, expiration dates, or restrictions.

You may not qualify for all Offers, incentives, discounts, rebates, or financing programs. Offers are subject to eligibility requirements, lender approval, manufacturer rules, expiration dates, availability, residency restrictions, credit approval, and other limitations. Please contact the Dealership for qualifications and complete details.

Vehicle Listings, Pricing and Availability

Vehicle listings, pricing, payments, photos, mileage, availability, equipment, options, accessories, rebates, incentives, financing terms, lease terms, taxes, fees, and other information displayed on the Site are provided for informational purposes only and are subject to change without notice. Inventory is subject to prior sale and may not be available at the time of inquiry.

While the Dealership makes reasonable efforts to ensure the accuracy of information displayed on the Site, errors do occur. The Dealership is not responsible for typographical errors, pricing errors, payment calculation errors, vehicle description errors, equipment errors, option errors, photo errors, incentive errors, availability errors, or other inaccuracies. Please verify all information directly with the Dealership before making a purchase decision.

Listed prices may exclude tax, title, license, registration, government fees, dealer fees, documentary fees, finance charges, optional products, dealer-installed accessories, protection products, service contracts, and other optional or required charges unless expressly stated otherwise. Optional add-ons are not required for purchase unless otherwise disclosed in writing.

Vehicle Descriptions and Condition

Any vehicle options, accessories, specifications, packages, or features described on the Site or in advertisements may be based on VIN decoding, manufacturer data, third-party data, or information typical for that model when sold new. The actual options, accessories, equipment, condition, and features installed on a specific vehicle may vary from what is listed.

Used vehicles should be expected to have condition, wear, cosmetic imperfections, prior repairs, mechanical characteristics, and other issues consistent with their age, mileage, history, and prior use. Descriptive terms such as "mint," "great," "excellent," "clean," or similar terms should not be interpreted to mean that a vehicle is new or like new.

Do not assume that all maintenance has been performed, that all recalls have been completed, or that items of normal wear and tear have been replaced or reconditioned unless expressly stated in writing by the Dealership. You are responsible for verifying that a vehicle is equipped and conditioned as you require before purchase.

Payment Methods

Accepted payment methods may include cash in person, certified check, bank transfer, approved third-party financing, or other payment methods accepted by the Dealership. All funds must be in U.S. dollars. Please contact the Dealership for help with financing or questions regarding acceptable payment methods.

Some vehicles may include dealer-installed items, accessories, protection products, or other items listed on a vehicle addendum. Please request a buyer's order, purchase agreement, or bill of sale showing the total balance due before bringing funds or completing a transaction.

Additional Fees and Taxes

Applicable fees may include a $ thirty-day drive-away permit fee, a $ documentary fee, sales tax for Texas residents and residents of tax-reciprocal states with Texas, and any other applicable government, registration, title, license, dealer, or documentation fees.

Please call or email to confirm whether your state is reciprocal with TX. Out-of-state buyers are responsible for all applicable state, county, city, title, registration, license, tax, and other fees in the jurisdiction where the vehicle will be registered.

Buyer’s Inspection

Every effort has been made to accurately and fairly describe each vehicle. However, used vehicles may have scratches, dents, dings, wear, prior repairs, mechanical issues, or other conditions typical for their age, mileage, and use. Mechanical parts are subject to fail.

The Dealership welcomes and recommends a buyer's inspection before purchase. If you choose to have a vehicle inspected, you are responsible for arranging and paying for any inspection charges or fees. Any inspection should be completed before purchase.

Shipping

The buyer is responsible for all shipping charges. The Dealership may assist the buyer with locating a shipping company. Please call us at +15122502000 for more information.

The Dealership assumes no responsibility for damage, loss, delay, or other issues that occur after a vehicle leaves the Dealership's premises. If a vehicle is being shipped, full payment must be received before the vehicle is released to the shipping company.

Warranty and As-Is Sales

Unless otherwise stated in the vehicle description or in a separate written agreement signed by the Dealership, used vehicles are sold "as is" and without warranties from the Dealership. No representations or warranties are made by the seller except as expressly stated in writing.

Manufacturer warranties may still apply on certain vehicles. Extended service contracts or warranties may be available for purchase. Please contact the Dealership for details.

Special Prohibitions Applicable to Leads and Submitted Content

By submitting a lead, request, form, review, chat message, or other Materials through the Site, you further represent, warrant, and agree that you will not:

• submit Materials that are false, misleading, defamatory, vulgar, obscene, harassing, threatening, abusive, hateful, discriminatory, or otherwise objectionable.
• submit Materials that infringe or violate any copyright, trademark, trade secret, privacy right, publicity right, contractual right, or other right of any third party.
• impersonate another person, falsify contact information, misrepresent your identity, or misrepresent your relationship with any person or entity.
• submit Materials containing viruses, malware, harmful code, restricted-access pages, hidden content, or instructions for illegal activity.
• use the Site to harass others, collect personal information without consent, send spam, solicit passwords, or engage in unauthorized commercial activity.

Interactive Areas

The Site may offer chat tools, blogs, review areas, comments, forums, messaging tools, or other interactive features (collectively, "Interactive Areas"). The Dealership does not endorse and is not responsible for the accuracy, reliability, or content of statements, reviews, opinions, messages, or other Materials submitted by users or third parties.

Any information you disclose in Interactive Areas may become public. You should not submit information that you do not want others to see or use. You agree that the Dealership and Adomatic are not responsible for any third party's use of information you submit through Interactive Areas.

Registration and Accounts

If the Site allows you to create an account, schedule services, save vehicles, submit applications, or access restricted features, you agree to provide true, accurate, current, and complete information and to maintain the accuracy of that information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

The Dealership and Adomatic may suspend, restrict, or terminate your account or access to the Site if they believe your use violates these Terms, applicable law, or the rights of any party.

Rights to Review, Remove or Restrict Content

Given the nature of the Site and the volume of leads, reviews, communications, and other Materials that may be submitted, the Dealership and Adomatic cannot and do not monitor all Materials posted, submitted, or transmitted through the Site. However, the Dealership and Adomatic reserve the right to review, reject, delete, remove, modify, edit, restrict, or disable access to any Materials at any time, for any reason, without notice and without liability.

Prohibited Activities

The following is a partial list of activities prohibited on or through the Site:

• using the Site for any unlawful, fraudulent, harmful, abusive, or unauthorized purpose.
• submitting Materials that could be harmful to minors or that encourage illegal activity.
• transmitting junk mail, spam, unauthorized advertising, contests, sweepstakes, barter, or pyramid schemes.
• harvesting or collecting names, phone numbers, addresses, email addresses, or other personal information without consent.
• using any robot, spider, scraper, crawler, automated tool, or manual process to monitor, copy, or extract Site pages, Content, data, listings, or Software.
• using any device, software, or routine to interfere or attempt to interfere with the proper operation of the Site.
• decompiling, reverse engineering, disassembling, or attempting to derive the source code of any Software.
• taking any action that imposes an unreasonable or disproportionately large load on the Site or related infrastructure.
• attempting to gain unauthorized access to the Site, accounts, systems, servers, databases, networks, or connected services.
• taking any action that may violate applicable local, state, national, or international law.
• taking any action that could undermine, damage, impair, or interfere with the Site, the Dealership, Adomatic, or any Licensors and Suppliers.

Third-Party Links and Services

The Site may contain links to or integrations with third-party websites, tools, lenders, credit applications, payment processors, vehicle history providers, manufacturers, mapping services, advertising platforms, social media platforms, chat providers, analytics providers, or other services not owned or controlled by the Dealership or Adomatic.

The Dealership and Adomatic are not responsible or liable for the content, policies, practices, terms, security, accuracy, availability, or operation of any third-party websites or services. Your use of third-party websites or services is subject to their applicable terms and policies. Links do not imply endorsement, sponsorship, affiliation, or authorization.

Representations and Warranties

You represent and warrant that: (a) you have all necessary authority, rights, and permissions to submit Materials and grant the rights described in these Terms; (b) the Materials you submit are accurate, current, and complete; (c) your Materials do not infringe, misappropriate, or violate any intellectual property, privacy, publicity, contractual, or other rights of any third party; (d) your Materials and use of the Site will not violate any applicable law or regulation or cause injury to any person; and (e) your use of the Site will not violate any agreement between you and any third party.

General Disclaimer

All Materials posted on, transmitted through, or linked through the Site are the sole responsibility of the person or entity from whom such Materials originated. The Dealership and Adomatic do not control and are not responsible for user-submitted Materials, third-party Content, third-party services, or service provider content made available through the Site.

You are solely responsible for evaluating the risks associated with your use of the Site and your reliance on the accuracy, usefulness, completeness, or appropriateness of any Materials, Content, vehicle information, or third-party information that you submit, receive, access, transmit, or otherwise use through the Site.

Warranty Disclaimer

Your use of the Site and reliance on its content is at your own risk. The Site, software, content, vehicle information, tools, communications, and services made available through the Site are provided on an “as is” and “as available” basis.

The Dealership, Adomatic, and their respective licensors, suppliers, vendors, and service providers disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, security, and error-free operation.

The Dealership and Adomatic do not warrant that the Site, software, content, vehicle information, or services will be accurate, complete, timely, uninterrupted, secure, error-free, or free from viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by law, neither the Dealership, Adomatic, nor their respective owners, officers, directors, employees, contractors, agents, licensors, suppliers, vendors, or service providers shall be liable to you for any indirect, consequential, special, incidental, exemplary, or punitive damages, including damages arising from or related to:

• your use of or inability to use the Site.
• errors, omissions, or defects in Content or vehicle information.
• interruptions, delays, outages, or technical failures.
• computer viruses, malware, security breaches, or unauthorized access.
• third-party websites, integrations, tools, or services.
• any actual, prospective, completed, or terminated purchase, sale, financing, service, trade-in, shipping, or other transaction.

To the fullest extent permitted by law, the aggregate maximum liability of the Dealership, Adomatic, and/or their respective licensors, suppliers, vendors, and service providers for any claim arising from or related to the Site or these Terms shall not exceed the greater of:

• the amount you paid, if any, to use the Site during the month preceding the claim; or
• one hundred dollars ($100).

Indemnification

You agree to indemnify, defend, and hold harmless the Dealership, Adomatic, and their respective owners, officers, directors, employees, contractors, agents, licensors, suppliers, vendors, and service providers from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to: (a) the Materials you submit; (b) your use of the Site or reliance on Content; (c) your breach of these Terms; (d) your violation of applicable law; (e) your violation of any third-party rights; or (f) any actual, prospective, completed, or terminated purchase, sale, financing, service, trade-in, shipping, or other transaction.

Termination of Service

You understand and agree that the Dealership and Adomatic may, in their sole discretion and without prior notice, suspend, restrict, terminate, or refuse your access to the Site or any portion of the Site if they believe your use of the Site or Materials violates these Terms, applicable law, the rights of the Dealership, Adomatic, any third party, or any user of the Site, or is otherwise harmful, inappropriate, or objectionable.

You agree that monetary damages may not provide a sufficient remedy for violations of these Terms, and you consent to injunctive or other equitable relief for such violations where appropriate.

Miscellaneous

The Dealership and Adomatic may modify, suspend, discontinue, or restrict the use of any portion of the Site without notice or liability. These Terms are governed by and construed in accordance with the laws of the state in which the Dealership is domiciled, without regard to conflict of law principles.

Any cause of action you may have arising from or related to the Site or these Terms must be filed within one (1) year after the cause of action arises or it is permanently barred, unless a longer period is required by applicable law. As a condition of using the Site, you agree that all claims arising out of or connected with these Terms shall be resolved individually and not as part of any class, collective, or representative action.

Headings are for convenience only and have no interpretive effect. If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Failure to enforce any provision will not constitute a waiver. These Terms do not create a partnership, joint venture, agency relationship, employment relationship, or franchise relationship between you, the Dealership, and Adomatic.

In the event of a conflict between these Terms and a separate written agreement between you and the Dealership, the separate written agreement shall control with respect to that conflict.

Changes to These Terms

The Dealership reserves the right to update, revise, or amend these Terms at its discretion and at any time. If changes are made, the updated Terms will be posted on this page and the updated date may be revised. Your continued use of the Site after updates are posted indicates your agreement to the updated Terms.

Site Provider

Adomatic provides website technology, hosting, management, design, support, integrations, and related services for the Site. As between the Dealership and Adomatic, the Dealership is responsible for vehicle inventory, pricing, availability, sales terms, financing terms, taxes, fees, warranties, dealership communications, and transaction-related information.
